ROC, MCA & CS Compliance

Ongoing corporate and secretarial compliance support so your company or LLP stays in good standing with the Ministry of Corporate Affairs.

When this service fits

Every company and LLP carries recurring obligations to the Registrar of Companies: annual filings, event-based updates, director compliance and proper documentation of decisions. Missed filings attract penalties and can complicate banking, funding and closure. Vivekshala tracks these obligations and coordinates timely, correct filings.

  • LLPs needing annual returns and event-based filings
  • Directors and shareholders managing changes in structure
  • Companies planning closure or revival

How an engagement works

  1. Compliance review

We review your filing history, pending items and upcoming deadlines on the MCA portal.

  2. Scope and calendar

You receive a list of required filings, the information needed and a compliance calendar.

  3. Prepare and certify

We prepare forms and documents and coordinate professional certification where required.

  4. File and maintain

Filings are submitted with acknowledgements shared, and records are kept current.

Information normally required

  • Certificate of Incorporation, MOA/AOA or LLP agreement
  • Director and shareholder details with DIN and DSC information
  • Financial statements and trial balance for the filing year
  • Details of changes during the year such as transfers or appointments
  • MCA portal credentials or authorised access where filings are made on your behalf

Please note

ROC and MCA filings that legally require certification by a company secretary or chartered accountant are performed or reviewed by eligible professionals. Regulatory decisions, approvals and penalties remain with the authorities concerned.

Frequently asked questions

What happens if my company has not filed for a few years?

Pending filings can usually be completed, though additional fees and penalties may apply. We first review your MCA master data and then give you a realistic list of what must be filed and what it will cost.

Does a dormant or inactive company still need to file?

Yes. Until a company is formally closed, annual filings remain due. We can either bring the filings up to date or help you evaluate a voluntary strike-off.

Can you handle a change of directors or registered office?

Yes. These are event-based filings with specific forms and timelines. We prepare the resolutions and forms and file them within the applicable window.

Do LLPs have the same compliance as companies?

LLPs have a lighter regime, mainly Form 11 and Form 8 each year plus event-based filings. The penalties for delay, however, can be significant, so timely filing still matters.
